dc.description | Studies and research about contracts in commercial matters in Ecuador, have generally been addressed as descriptive approaches of the usefulness of its contents and its legal effects, but little has been discussed about its effectiveness in terms of results, performance and legal certainty. Hence, although it is important to analyze if a commercial contract adjusts to the norm, it is more important to explain the legal needs of a commercial contract, and its relevance in an economic activity. Indeed, the Economic Analysis of Law (EAL) falls within this perspective, that is, the possibility to explain the strategic level of design and legal effects of a commercial contract, leaving aside a closed normativity vision, and admitting the analysis of the contract as part of the specific economic activity in which they have high value: strategies of economic agents, economic information, negotiation, market and legal regulation. Under this perspective, nominate contracts are recognized with social and legal criminality, whereas innominate ones are recognized with social criminality only, due to the free will principle; therefore, it is undeniable that the contract meets two functions: social and economic. | en |
